Score — Terms of Service

These Terms of Service ("Terms") are a contract between you and BellieBub LLC, a Delaware limited liability company registered to do business in Texas ("BellieBub," "we," "us," "our"), governing your access to and use of the Score platform and Score Assistant AI feature and related websites, applications, and services (the "Services").

By creating an account, clicking "I agree," or using the Services, you accept these Terms. If you are agreeing on behalf of an organization (a studio, school, or business), you represent that you are authorized to bind it, and "you" means that organization.

Effective date: October 4, 2026 · Last updated: October 18, 2026

1. Eligibility and accounts

1.1 Adults only (current posture). The Services are currently offered to adults (18+) — music teachers, studios, and their authorized staff. You may not create an account for, or on behalf of, a child, and children may not use the Services. No student accounts exist in the current (freemium) Services.

1.2 Accurate information. You agree to provide accurate account information and keep it current.

1.3 Account security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at contact@schoolmusic.services of any unauthorized use.

1.4 One human per account unless we expressly offer team/seat features; do not share individual credentials.

2. The Services; changes

2.1 We provide AI-assisted productivity tools for music educators (rehearsal/sub-plan generation, communication drafting, materials generation, and music-education chat), plus platform features. We may add, change, or remove features. For material adverse changes to paid features, §5.6 (changes) applies.

2.2 Beta / limited-testing features. Parts of the Services are offered for limited testing and may be changed or discontinued, may contain errors, and are provided "as is" without warranty (§10).

3. Acceptable use

Your use of the Services is subject to the Acceptable Use Policy, incorporated by reference. In summary, you agree not to misuse the Services, violate law or others' rights, attempt to defeat security or rate limits, or enter prohibited content (including, in the current posture, student personal information — see §6.4).

4. Your content and our content

4.1 Your content. "Your Content" means the inputs you submit and outputs you save. As between you and us, you own Your Content. You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to provide and secure the Services and as described in the Privacy Policy. We do not use Your Content to train AI models or for retail/marketing purposes (see the Privacy Policy and our AI Trust and Transparency documentation, available to schools and customers on request at contact@schoolmusic.services).

4.2 AI output ownership. Subject to these Terms and your compliance with them, as between you and us, you own the outputs Score Assistant generates for you ("Output"), and you are responsible for their use. Because generative AI can produce similar outputs for different users, Output is not guaranteed to be unique, and we make no representation that Output is free of third-party rights; you are responsible for reviewing Output before use (§4.4).

4.3 Our IP. The Services, including software, models integration, prompts, designs, and trademarks (including "Score" and "Score Assistant," subject to clearance), are owned by us or our licensors. We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Services per these Terms. You get no other rights.

4.4 AI disclaimer — human review required. Output is decision-support only: it is generated by AI, may be inaccurate, incomplete, or unsuitable, and must be reviewed by a qualified human before use. Output is not professional, legal, medical, financial, accreditation, or special-education advice, and is not a substitute for professional judgment. You are solely responsible for what you do with Output.

4.5 Feedback. If you give us feedback, we may use it without restriction or obligation to you.

5. Subscriptions, billing, and payments (Stripe)

5.1 Free and paid tiers. We currently offer a freemium tier and may offer paid plans (e.g., a "Plus" subscription). Prices, features, and limits are shown at purchase.

5.2 Payment processor. Payments are processed by Stripe via Stripe-hosted payment interfaces. We do not collect or store your full card number. Your use of payment features is also subject to Stripe's terms. You authorize us (through Stripe) to charge your payment method for the fees you agree to.

5.3 Auto-renewal. Paid subscriptions renew automatically for successive periods at the then-current price until cancelled. You may cancel anytime, effective at the end of the current billing period, via account settings.

5.4 Taxes. Fees are exclusive of taxes. We collect applicable sales/use tax where required (e.g., Texas treats SaaS as a taxable data-processing service). Tax-exempt customers (e.g., public schools) must provide a valid exemption certificate.

5.5 Refunds. New subscriptions include a 14-day free trial; no charge is made until the trial ends. Once billing begins, fees are non-refundable for the then-current billing period, except where required by law. Cancel any time before the trial ends to avoid being charged; cancelling mid-period stops future renewals but does not refund the current period.

5.6 Price and plan changes. We may change prices and plan features. We will give advance notice of price increases affecting your renewal; the new price applies to the next renewal, which you may decline by cancelling.

5.7 Non-payment. We may suspend or downgrade paid features for failed or overdue payments after reasonable notice.

6. Your responsibilities and representations

6.1 You will comply with all laws applicable to your use, including, if you are an educator, your own institution's policies and any student-privacy obligations.

6.2 You will not use the Services to violate others' privacy or intellectual-property rights.

6.3 You are responsible for the content you input and for reviewing all Output.

6.4 No student personal information (current posture). Because the current Services are adults-only and not covered by a school Data Processing Agreement, you must not enter students' personal information (names tied to other identifiers, contact details, IDs, images, recordings, or other education-record data) into the Services. Use the provided placeholders and the scrub feature. School-authorized handling of student data requires a signed Data Processing Agreement and applicable riders.

7. Third-party services

The Services integrate third-party providers (e.g., Anthropic, Portkey, Microsoft Azure, Stripe, SendGrid, Twilio — see our Subprocessors list). We are not responsible for third-party services you separately choose to use, and their terms may apply.

8. Suspension and termination

8.1 By you. You may stop using the Services and close your account at any time.

8.2 By us. We may suspend or terminate your access if you materially breach these Terms or the AUP, create risk or legal exposure, or for prolonged inactivity or non-payment, with notice where practicable (immediately for serious violations).

8.3 Effect. On termination, your license ends and we may delete Your Content per the Privacy Policy and retention schedule. You may export saved Output before closure. Terms that by nature survive (IP, disclaimers, limitation of liability, indemnity, dispute resolution) survive termination.

9. Disclaimers

9.1 THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.

9.2 We do not warrant that the Services will be uninterrupted, error-free, or secure, or that Output will be accurate, complete, current, or suitable for your purpose. You assume all responsibility for reviewing and relying on Output.

9.3 Some jurisdictions do not allow certain disclaimers; some protections may not apply to you.

10. Limitation of liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY.

10.2 EXCEPT FOR your indemnity obligations, a party's breach of confidentiality, or amounts owed, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) US$100.

10.3 These limitations are an essential basis of the bargain and apply even if a remedy fails its essential purpose. School DPA liability terms may differ and are negotiated per contract.

11. Indemnification

You will defend, indemnify, and hold harmless BellieBub and its officers, members, employees, and agents from third-party claims, damages, and reasonable costs (including attorneys' fees) arising from (a) Your Content, (b) your use of the Services or Output in violation of these Terms or law, or (c) your violation of a third party's rights, including entering student or other personal information in violation of §6.4. We will have a reciprocal obligation for our infringement of third-party IP where required by a negotiated agreement.

12. Dispute resolution; arbitration; governing law

12.1 Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and, where applicable, the Federal Arbitration Act.

12.2 Informal resolution first. Before filing a claim, you agree to contact us at contact@schoolmusic.services and try to resolve the dispute informally for 60 days.

12.3 Binding arbitration. Except for the carve-outs below, any dispute arising from or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Dallas County, Texas. Class actions and class/representative arbitrations are waived.

12.4 Carve-outs. Either party may bring (a) an individual claim in small-claims court, and (b) an action for injunctive relief to protect intellectual property or confidential information. Nothing waives rights that cannot be waived by law.

12.5 Venue for non-arbitrable matters. The state and federal courts located in Dallas County, Texas have exclusive jurisdiction, and you consent to personal jurisdiction there.

12.6 Schools/government. Public-school and government customers may be subject to different dispute-resolution and venue terms negotiated in the applicable DPA or purchase agreement, which control over this §12 for those customers.

13. Changes to these Terms

We may update these Terms. For material changes we will provide reasonable advance notice (e.g., email or in-product). Changes take effect on the stated effective date; continued use after that date means you accept the updated Terms. If you do not agree, stop using the Services before the effective date.

14. General

14.1 Entire agreement. These Terms, the AUP, the Privacy Policy, and any order or DPA you sign are the entire agreement between us on their subject matter.

14.2 Assignment. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.

14.3 Severability. If a provision is unenforceable, the rest remains in effect.

14.4 No waiver. Failure to enforce a provision is not a waiver.

14.5 Force majeure. Neither party is liable for delays or failures beyond its reasonable control.

14.6 Notices. We may send notices to your account email; you may reach us at contact@schoolmusic.services.

14.7 Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.

15. Text messages: Score family texts

15.1 Program. "Score family texts" is a text-message program operated by BellieBub, LLC ("BellieBub"), the operator of Score. By agreeing to these text-message terms on your Score family page, you agree to get texts as described here. These terms are part of the Terms; our Privacy Policy explains how we handle your information.

15.2 What you will get. Texts sent for your music studio, through Score, to the phone number on your family profile: lesson reminders, schedule changes and cancellations, makeup lessons, bills and payment due notices, event changes, one-time sign-in codes you ask for, and your studio's invitation to see your child's lessons on Score (sent by text only after you have opted in). We do not send marketing or promotional texts.

15.3 Message frequency varies. It depends on your studio's lessons, events and billing.

15.4 Rates. Message and data rates may apply. Your mobile carrier sets them.

15.5 Consent is not a condition of purchase. You do not have to agree to get texts to use Score or to buy anything.

15.6 STOP. Reply STOP to any family text to opt out. The words STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE and OPTOUT also work. We will reply once to confirm: "You're opted out of Score family texts and won't get more. Turn texts back on from your Score family page." After that, Score sends no more family texts to that number.

15.7 HELP. Reply HELP (or INFO) for help. We will reply: "Score sends lesson, schedule and billing texts for your music studio. Message frequency varies. Message and data rates may apply. Reply STOP to opt out. For help, contact your studio directly."

15.8 START. Replying START does not turn texts back on by itself. We will tell you to turn them on again from your Score family page, where you agree to the consent wording again.

15.9 Support. For help with texts, contact your studio, or email BellieBub at contact@schoolmusic.services or write to BellieBub LLC, 5930 Royal Ln. #154, Dallas, TX 75230, USA.

15.10 Carriers. Carriers are not liable for delayed or undelivered messages. Texts may not reach every phone or carrier, and you should not rely on a text alone for something urgent.

15.11 Privacy. See our Privacy Policy, section 15. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.
